Frequently asked questions

There is no single best structure. A sole trader is generally simplest and cheapest, but you are personally liable. A company is a separate entity taxed at its applicable company tax rate. Limited liability has exceptions, and taking money out of a company can have further tax consequences. A discretionary trust may distribute income among eligible beneficiaries, subject to its deed and the tax rules. We compare the tax and costs, and your solicitor advises on liability and legal protection.

Yes, but restructuring can trigger capital gains tax, income tax, GST and Victorian duty, particularly for land or interests in landholding entities. Rollovers and duty relief have separate conditions. We also check registrations, payroll tax, land tax and WorkCover where relevant.

A sale can have capital gains tax, income tax and GST consequences, depending on what is sold and your structure. Eligible capital gains may qualify for the small business CGT concessions, which have strict conditions. We assess the taxes and your eligibility well before the sale.
